Here’s a breakdown of the documents and requirements you need to register a Private Limited Company in India. What you’ll need depends a bit on whether the directors/shareholders are Indian or foreign nationals, we have called out both.

Key Requirements before you begin

You need at least 2 directors (who can also be shareholders) and 2 shareholders (they can be same individuals). At least one director must be a resident of India (lived in India for ≥ 182 days in previous calendar year).

• Every director needs a Director Identification Number (DIN) and Digital Signature Certificate (DSC).
• Company must have a registered office address in India.

Documents Required — Directors / Shareholders

For Indian nationals (directors or shareholders)

• PAN card (mandatory).
• Identity proof — Aadhaar card, or other government-issued ID like Voter ID, Passport, or Driving License.
• Address proof / residential proof — recent documents such as bank statement, utility bills (electricity, phone, water, etc.). Utility bills should not be older than about 2 months.
• Passport-size photograph of each director/shareholder.
• Specimen signature (often required in a prescribed format if applying manually).

For foreign nationals / NRIs / OCI investors (if any)

• Notarized (or apostilled, if required) copy of valid passport as identity proof.
• Notarized or apostilled address proof — e.g. foreign bank statement, utility bill, residence permit, or other acceptable proof. If passport is not in English, certified translation must be provided.
• Recent residential proof (e.g. bank statement, utility bill) — typically not older than 1 year (but often recent is preferred).
• Passport-size photograph.
• If the foreign national will physically be present in India / acting as director, valid Indian visa may be required.

Documents for the Company’s Registered Office Address

The company needs to submit proof of its registered office (the official address for company correspondence). Acceptable documents:

• Recent utility bill (electricity, water, telephone, etc.), typically not older than 2 months.
• If the place is rented: a valid rent agreement plus a No Objection Certificate (NOC) from the property owner/landlord.
• If the premise is owned: property ownership proof (deed or sale deed), or other legal documents showing ownership. Also, an NOC may be required if property is not in company’s name.

Company Constitution & Statutory Documents

Beyond identity, address and office-proofs, incorporation requires certain statutory documents and forms:

• Memorandum of Association (MoA) — defines the company’s objectives, share capital, and scope of business.
• Articles of Association (AoA) — defines the internal rules, rights and obligations of shareholders and directors.
• Declarations by directors and subscribers using statutory forms: for example, INC-9 (declaration of compliance) and DIR-2 (consent to act as director).
• The combined incorporation application — usually filed via SPICe+ (INC-32) Form (or earlier INC-32/INC-33/INC-34), which includes name reservation, incorporation, and requests for PAN/TAN allotment.

Once approved, the government issues a Certificate of Incorporation (CoI) along with a unique Company Identification Number (CIN), which officially marks the company’s legal existence.
